Terms of Service

Noctivion is a digital services studio operated by TruRebel LLC. We build websites, booking flows, ordering systems, automation layers, and launch assets for local service businesses, and we run them as a managed operating layer. These Terms govern all engagements between Noctivion and any client, customer, or referrer.

Noctivion provides digital services including but not limited to: the Build Audit, website builds, booking and ordering systems, intake/payment setup, automation systems, and launch assets. The specific scope of each project is defined by a written agreement, invoice, proposal, checkout description, or combination thereof.

Every engagement begins with the $500 Build Audit: a flat, paid diagnostic delivered as a priority plan and a fixed-fee build quote, and fully creditable toward any Foundation-or-higher build you schedule within 60 days. Paying for the audit does not obligate Noctivion to accept or build the project — the audit is a diagnostic and an honest fit answer, and either side may decline to proceed.

After the audit sets your scope, a build deposit schedules the build. Deposits are credited toward the total project cost and authorize Noctivion to begin scoping and Phase 1 work. Under $10,000, a 50% deposit schedules the build and the balance is due at go-live; for larger systems, payment is milestoned (40% to schedule, 40% at build review, 20% at go-live). Payment terms for remaining balances are outlined per project.

Payments are processed securely through Stripe. Noctivion does not store card or banking information.

Project timelines depend on client-provided materials, approvals, and responsiveness. Estimated timelines (such as "Phase 1 live in seven days") assume that required content, access, and approvals are provided promptly. Delays caused by missing client materials extend timelines accordingly.

The client is responsible for ensuring they have the legal right to submit any assets, copy, images, or other materials provided to Noctivion for use in the project. By submitting materials, you represent that you own or have the appropriate rights to use them.

Noctivion reserves the right to pause or suspend active work in the event of nonpayment, missing required information, or failure to respond to project-critical communications within a reasonable timeframe. Work will resume upon resolution.

Upon receipt of full payment, the client owns the delivered work product. Noctivion retains the right to reference completed work in its portfolio and proof library unless otherwise agreed in writing. The underlying platform, reusable modules, and shared infrastructure remain Noctivion’s; taking the source to self-host is a separate, scoped buyout.

Noctivion runs a single-level referral program: a referrer earns only for businesses they personally introduce. It creates no equity, partnership, or downline, and there is no multi-level override. Commissions are paid on qualified, collected live revenue, with one payout per unique referred business. Full attribution, qualification, and payout rules are set out in the referral terms.

Noctivion is not liable for indirect, incidental, or consequential damages arising from use of delivered systems. Our liability is limited to the amount paid for the specific engagement in question.

These terms may be updated periodically. Continued use of Noctivion services after changes constitutes acceptance of the updated terms.
